Terms of Service

1. Introduction

Welcome to AskEditor! These Terms of Service ("Terms") govern your access to and use of our website, services, and applications (collectively, the "Service") operated by AskEditor.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Our Privacy Policy governs how we collect, use, and disclose information. Your agreement with us includes these Terms and our Privacy Policy ("Agreements").

2. Age Requirement and Eligibility

You must be at least 13 years of age to use our Service. If you are under 18 years of age, you must have your parent or legal guardian's permission to use the Service and accept these Terms.

By using the Service, you represent and warrant that you meet the age requirements and have the legal capacity to enter into these Terms. We reserve the right to terminate any account that violates this age requirement.

3. Account Registration and Security

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to update such information as necessary.

Your account is personal and non-transferable. You may not share your account credentials or allow others to access your account. Premium subscription benefits are for your personal use only and cannot be shared.

You are responsible for maintaining the confidentiality of your password and for all activities under your account. Notify us immediately of any unauthorized access. AskEditor is not liable for losses arising from unauthorized account use.

4. User Content and License Grant

You retain ownership of any content you upload, create, or store using our Service ("User Content"). However, by uploading User Content, you grant AskEditor a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with providing and improving the Service.

You represent and warrant that: (i) you own or have the necessary rights to all User Content you upload; (ii) your User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights; and (iii) your User Content complies with these Terms and applicable laws.

You are solely responsible for your User Content. AskEditor does not endorse and is not responsible for any User Content uploaded by users.

5. Intellectual Property Rights

The Service, including all content, features, and functionality, is owned by AskEditor and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, logos, and service marks displayed on the Service are the property of AskEditor. You may not use these marks without our prior written permission.

Nothing in these Terms grants you any right, title, or interest in the Service or any intellectual property rights owned by AskEditor, except for the limited right to use the Service as expressly permitted by these Terms.

6. Prohibited Uses

You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Prohibited activities include, but are not limited to:

  • Violating any applicable national or international law or regulation
  • Exploiting, harming, or attempting to exploit or harm minors
  • Transmitting spam, junk mail, chain letters, or similar solicitations
  • Harassing, abusing, threatening, or intimidating other users
  • Impersonating any person or entity or falsely stating your affiliation
  • Attempting to gain unauthorized access to accounts, systems, or networks
  • Interfering with or disrupting the Service or servers
  • Using automated means (bots, scrapers, crawlers) without permission
  • Distributing viruses, malware, or other malicious code
  • Uploading content that infringes intellectual property rights
  • Uploading pornographic, violent, hateful, or otherwise objectionable content
  • Reverse engineering, decompiling, or disassembling the Service

7. Acceptable Use and Fair Use Policy

We reserve the right to limit file upload sizes, processing times, storage capacity, and AI feature usage to ensure fair use and service quality for all users. Excessive use that adversely affects service performance may result in throttling or account restrictions.

We may suspend or terminate accounts that engage in extreme overuse, abuse of AI features, or violations of this policy. Examples include but are not limited to: automated bulk processing, reselling service access, or using the Service in a manner that significantly exceeds normal usage patterns.

8. Use of Artificial Intelligence

Our Service uses artificial intelligence ("AI") technologies to provide features such as video generation, image creation, text-to-speech, and script writing. You acknowledge that AI systems may process your data as detailed in our Privacy Policy. We commit to using AI in accordance with applicable laws and ethical standards.

9. Use of YouTube Data

If you connect your YouTube account, you grant us access to YouTube data to provide analytics, insights, and video publishing capabilities. We request the following permissions:

  • View your YouTube channel: youtube.readonly - to display your channel information and verify connection
  • Upload videos to your channel: youtube.upload - to publish videos you create in our editor to your YouTube channel

10. Purchases and Payments

If you purchase products or services through the Service, you may be asked to provide payment information including credit card details and billing address.

You represent and warrant that: (i) you have the legal right to use any payment method(s) provided; and (ii) the information you supply is accurate, correct, and complete.

All payment processing is handled by Stripe, a third-party payment processor. We do not store your payment card information on our servers.

We reserve the right to refuse or cancel orders at any time for reasons including product availability, pricing errors, or other circumstances.

11. Subscriptions, Billing, and Refunds

Subscription Terms

Subscriptions are billed monthly on a recurring basis ("Billing Cycle"). At the end of each Billing Cycle, your subscription automatically renews unless you cancel it.

You may cancel your subscription through your account settings or by contacting support. Cancellation is effective at the end of the current Billing Cycle.

Pricing Changes

AskEditor may modify subscription fees with reasonable advance notice. Changes become effective at the start of the next Billing Cycle. If you do not agree with fee changes, you may cancel before they take effect.

Refund Policy

AskEditor operates a strict no-refund policy. All subscription and credit purchases are final and non-refundable, except in cases of billing errors (duplicate charges or incorrect amounts).

We provide a free plan to test our Service. We encourage you to use the free plan before subscribing.

AI Credits and Digital Goods

AI credits are consumable digital goods providing access to AI-powered features. Credits are allocated monthly and expire at the end of each Billing Cycle.

By purchasing a subscription or credits, you acknowledge immediate access to digital goods and expressly waive any right of withdrawal under consumer protection laws.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

AskEditor does not warrant that: (i) the Service will be uninterrupted, secure, or error-free; (ii) defects will be corrected; (iii) the Service is free of viruses or harmful components; or (iv) results obtained from the Service will be accurate or reliable.

You assume all risk when using the Service. Your use of the Service is at your sole discretion and risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKEDITOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL ASKEDITOR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO ASKEDITOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless AskEditor, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (i) your use of the Service; (ii) your User Content; (iii) your violation of these Terms; or (iv) your violation of any third-party rights, including intellectual property, privacy, or other proprietary rights.

15. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service ceases immediately. All provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

You may terminate your account at any time by discontinuing use of the Service and contacting us to request account deletion.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware for the resolution of any disputes arising from these Terms.

17. Dispute Resolution

Any claim or dispute arising from these Terms or your use of the Service must be filed within one (1) year after the claim or cause of action arises. Failure to file within this time period permanently bars such claim.

Before filing any legal action, you agree to first contact us to attempt to resolve the dispute informally.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date.

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

19. Communications

By using our Service, you agree to receive newsletters, marketing materials, and other communications. You may opt out by following the unsubscribe link in any communication.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent.

21. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AskEditor regarding the Service and supersede all prior agreements and understandings.

23. Video Clipping and Copyright Responsibilities

Our Service includes features that allow you to clip, edit, and create derivative works from video content. You are solely responsible for ensuring you have the legal rights to use, modify, and distribute any video content you upload to our Service.

Original Content Requirement

By uploading video content to be clipped or edited, you represent and warrant that the content is either:

  • Original content that you created and own all rights to
  • Content for which you have obtained explicit written permission from the copyright holder to modify and redistribute
  • Content licensed under terms that explicitly allow derivative works and redistribution (e.g., Creative Commons licenses)
  • Content in the public domain

Prohibited Content

You must not upload, clip, or distribute video content that:

  • Infringes on copyrights, trademarks, or other intellectual property rights of third parties
  • Uses the name, likeness, voice, or persona of any individual without their explicit consent (publicity and privacy rights)
  • Contains copyrighted music, audio, or other media without proper licensing
  • Violates any third-party rights, including but not limited to moral rights, rights of publicity, or rights of privacy
  • Was obtained through unauthorized screen recording, downloading, or ripping from streaming platforms or other sources

DMCA and Copyright Enforcement

AskEditor respects intellectual property rights and will respond to proper notices of copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA). We reserve the right to remove content and terminate accounts of users who repeatedly infringe on third-party copyrights. Copyright infringement claims should be sent to support@askeditor.com.

User Indemnification for Copyright Claims

You agree to indemnify and hold AskEditor harmless from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to your unauthorized use of copyrighted material, infringement of third-party intellectual property rights, or violation of publicity or privacy rights through your use of our video clipping features.

Warning: Copyright infringement is a serious matter that can result in legal liability, including statutory damages up to $150,000 per work infringed and potential criminal prosecution. Always ensure you have the legal right to use and modify video content before uploading it to our Service.

24. DMCA Copyright Policy

AskEditor complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. We will respond to proper notices of alleged copyright infringement and reserve the right to terminate accounts of repeat infringers.

Filing a DMCA Notice

If you believe your copyrighted work has been infringed, please provide our designated DMCA agent with the following information in writing:

  • A physical or electronic signature of the copyright owner or person authorized to act on their behalf
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing and information sufficient to locate the material (e.g., URL or canvas ID)
  • Your contact information, including address, telephone number, and email address
  • A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner

Counter-Notice Procedure

If you believe your content was removed in error, you may file a counter-notice containing:

  • Your physical or electronic signature
  • Identification of the material removed and its former location
  • A statement under penalty of perjury that you have a good-faith belief the material was removed by mistake or misidentification
  • Your name, address, telephone number, and consent to jurisdiction in your district

Upon receipt of a valid counter-notice, we may restore the content within 10-14 business days unless the copyright claimant files a legal action.

Repeat Infringer Policy

AskEditor will terminate the accounts of users who are determined to be repeat infringers. A repeat infringer is a user who has been notified of infringing activity more than twice or who has had content removed from the Service more than twice.

Note: Knowingly making material misrepresentations in a DMCA notice or counter-notice may subject you to liability for damages, including costs and attorneys' fees, under 17 U.S.C. § 512(f).
